Super Micro Computer Appoints Mark Long CFO; David Weigand Steps Down

Super Micro Computer, Inc. appointed Mark Long as chief financial officer effective immediately on 14 October 2026, at which time David Weigand ceased serving in that role, according to an Form 8-K filed with the US Securities and Exchange Commission on 15 October 2026.

The filing states the board’s appointment and Weigand’s departure. It gives no reason for the change. This post does not speculate on why Weigand left.

Who Mark Long is

Per the 8-K, Long, age 59, has been a principal of Prime Impact Capital, LLC, an early-stage investment and advisory firm, since 2019. From 2020 to 2023 he was co-CEO and CFO of Prime Impact Acquisition I, a technology-focused SPAC. Previously he was chief financial officer of Western Digital from 2016 to 2019 and chief strategy officer there from 2015 to 2019. He holds a JD and MBA from the University of Michigan.

The filing says there are no arrangements with other persons pursuant to which he was selected, no family relationships with company directors or officers, and no Item 404(a) related-party transactions to disclose.

Pay package from the 8-K

In connection with the appointment, Super Micro entered an employment offer letter providing:

  • Annual base salary of US$725,000
  • Sign-on bonus of US$500,000, subject to prorated repayment if he leaves before completing two years
  • Guaranteed annual cash bonus of US$500,000, payable monthly or quarterly
  • Eligibility for an additional annual performance-based cash bonus of US$225,000 to US$725,000
  • Eligibility for an annual special RSU bonus based on company and individual performance
  • Expected initial equity, subject to Compensation Committee approval: 120,000 restricted stock units and an option to purchase 150,000 shares, each vesting over four years with continued employment

Employment is at will. Long is eligible for benefit programmes generally available to full-time employees.

What the filing does not say

The 8-K is a bare Item 5.02 transition notice. It does not describe Weigand’s future relationship with the company, whether he remains employed in another capacity, or any disagreement. It does not link the change to restatements, investigations or guidance. Anything beyond the appointment, cessation of Weigand’s CFO role, Long’s biography and the offer-letter economics would be invention.

The report is signed for the company by Charles Liang, president, CEO and chairman, dated 15 October 2026.

Comp structure in plain terms

Long’s cash package combines a US$725,000 base, a US$500,000 sign-on with a two-year clawback, a US$500,000 guaranteed bonus, and a performance band that can add roughly another US$225,000–US$725,000. Equity is larger in potential value but not yet granted until the Compensation Committee approves the expected 120,000 RSUs and 150,000-share option. Readers should separate disclosed cash terms from unapproved equity.

Why it matters

Super Micro is a major AI server vendor whose financial reporting and controls have been closely watched by investors. A same-day CFO transition disclosed by 8-K is a governance event even when no narrative reason is given. TSN has previously covered a Super Micro-linked contractor guilty plea in an Nvidia-server diversion case and AMD’s Helion rack design — adjacent supply-chain and AI-hardware context, not explanations for this personnel change.

Caveats

Use the 8-K as primary. Do not invent or imply a reason for Weigand’s exit. Equity awards are expected and subject to committee approval. Pay figures are contractual terms from the filing, not predictions of total realised compensation.

What to watch next

  • Whether Super Micro names Weigand’s next role or status in a later filing
  • Compensation Committee approval of the initial equity grants
  • Any related updates in the next 10-Q or earnings call
