Agility Robotics–Churchill Capital XI S-4 Declared Effective; Vote Set for 2 November

Agility Robotics and Churchill Capital Corp XI said the US Securities and Exchange Commission has declared their joint Form S-4 registration statement effective, clearing the way for Churchill XI shareholders to vote on the proposed business combination. Agility’s press release is dated 13 October 2026. Churchill XI (Nasdaq: CCXI) has set its extraordinary general meeting for 2 November 2026.

An effective S-4 is a process milestone. It is not the same as closing the merger.

Deal structure — company figures

If the deal closes, the combined company is expected to operate as “Agility” and list on Nasdaq under the ticker AGLT. Closing is expected in November 2026, subject to Churchill XI shareholder approval and other customary conditions, the companies said.

Gross proceeds are expected at more than US$620 million, including approximately US$424 million of cash held in Churchill XI’s trust account “(assuming no redemptions by Churchill XI shareholders)” and approximately US$200 million of incremental capital through a common stock PIPE led by Foxconn, with participation from existing and new institutional investors. Those figures are company expectations; redemptions can shrink trust cash.

Agility said it intends to use proceeds to fulfil existing customer orders, expand commercial deployments, scale production of Digit 5, and keep investing in its robotics, physical AI, software, safety and manufacturing stack.

What Agility is selling

Agility builds Digit, a bipedal humanoid aimed at warehouse, manufacturing and logistics work. Earlier Digit generations have accumulated more than 65,000 hours of real-world operation, the company said. Digit 5 is “backed by more than US$300 million in committed orders (subject to the satisfaction of certain contractual milestones, product features and/or specifications)” and is on track for early-access customer availability in early 2027. That parenthetical is Agility’s own wording and should stay attached to the order figure.

Named commercial deployments and agreements in the release include Schaeffler, GXO, and a Robot-as-a-Service agreement with Toyota Motor Manufacturing Canada after a pilot. Agility also said it was selected by NVIDIA as the launch partner for NVIDIA Halos, described as a full-stack safety system for physical AI and humanoids.

Manufacturing capacity is framed around RoboFab in Salem, Oregon, “designed to produce up to 10,000 robots annually,” plus a hardware and physical AI hub opened in Fremont, California, in July 2026. Strategic investors and partners named include DCVC, NVIDIA, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico and Playground Global.

The “only pure-play” claim

Upon closing, Agility said the combined company is expected to be “the only U.S. publicly listed pure-play humanoid robotics company with proven, active commercial deployments.” That is a company claim about market positioning, not an SEC finding.

Why it matters

Humanoid robotics has been a crowded TSN beat — Tesla Optimus, Robros factory clearances in Korea, NEURA’s Neuron AI, Mind Robotics’ leadership hire, and XPENG’s IRON Europe timeline. Agility’s pitch is narrower: years of Digit hours in customer sites, conditional Digit 5 order backlog, and a capital markets path that could fund scale if redemptions do not gut the trust.

Going public via SPAC still carries the usual risks: shareholder redemptions, dilution from the PIPE, and whether conditional orders convert into revenue when milestones and specs are met.

What is still unknown

The release does not disclose redemption levels, final cash at close, Digit 5 pricing, or how many of the more than US$300 million in committed orders have hard purchase obligations versus optionality. Forward-looking statements fill much of the document.

What to watch next

  • Churchill XI extraordinary general meeting on 2 November 2026
  • Redemption levels disclosed closer to the vote
  • Whether AGLT begins trading if the deal closes in November 2026
  • Any update converting Digit 5 committed orders into delivered units or revenue
