Axon Enterprise says it is investing an additional approximately $1.2 billion in Skydio and becoming the drone maker’s exclusive public-safety distributor in the United States and Canada. The 5 November 2026 newsroom release puts the deal at a $5.2 billion pre-money valuation and says the stake will add about 20% to Axon’s fully diluted ownership.
Axon’s Form 8-K for the same day is more precise on the ownership path. It states that Axon’s holding is expected to rise from approximately 15% as of 30 September 2026 to approximately 37% on a fully diluted basis after the Skydio investment. Consideration is expected to be roughly 60% cash, or about $720 million, with the remainder in Axon common stock, subject to how the Series G settlements clear.
Primary purchase closed on 5 November
The first tranche is already done. Under a Series G Preferred Stock Purchase Agreement dated 5 November, Axon bought 25,000,000 shares of Skydio’s non-voting Series G preferred stock at $10.19617 per share for an aggregate purchase price of about $254.9 million. That primary purchase was settled half in cash and half in Axon stock, valued on a ten-day Nasdaq VWAP formula set out in the filing.
The broader package mixes primary capital into Skydio with secondary purchases from existing shareholders. Axon says a portion of the cash is growth capital for Skydio’s roadmap and product expansion. Remaining closings are expected in the fourth quarter of 2026 and the first quarter of 2027, subject to customary conditions. Until those close, the headline $1.2 billion figure remains the companies’ expected aggregate, not a single wire that has already cleared.
Exclusive US and Canada public-safety channel
Alongside the capital, Axon becomes Skydio’s exclusive distributor for public safety in the US and Canada. Skydio, in the Axon release, says it already serves more than 1,500 public-safety customers and that more than 28 million Americans live within two miles of a Skydio Drone as First Responder (DFR) dock.
At agencies that have deployed Skydio DFR, Axon and Skydio claim priority response times have fallen by as much as 65%, with drones arriving before officers on roughly 80% of calls where the system is used. Those percentages are company-reported operating claims, not independent audits published with the deal. The same release estimates the DFR total addressable market at about $13 billion in the US and Canada alone, and says Skydio expects approximately $1 billion in total bookings in its current fiscal year — both forward-looking company figures.
Rick Smith, Axon’s founder and chief executive, framed the stake as a way for Axon to widen its public-safety drone lead while Skydio remains free to move across other sectors. Adam Bry, Skydio’s chief executive, said exclusive US and Canadian public-safety channel rights deepen a partnership that has already put Skydio aircraft into agencies across the country.
Where this sits next to other drone stories on TSN
TSN’s recent drone coverage has mostly tracked defence and spectrum, not municipal first-responder docks. Axon itself appears among the selectees in NATO’s counter-drone marketplace. Allied procurement has separately put Sky-Watch’s RQ-35 under an NSPA framework and seen the Bundeswehr order TYTAN mobile counter-drone systems. On the civil-spectrum side, the FCC opened 50 MHz of 800 MHz cellular spectrum to drones.
This Axon–Skydio package is a different lane: private capital and exclusive channel rights for US and Canadian public-safety DFR, documented in a press release and an 8-K, rather than a NATO call or a spectrum order. Readers should not read the NATO or Bundeswehr posts as evidence that this investment is a defence-prime contract; the filings here are about municipal and public-safety distribution plus ownership.
Why the structure matters more than the headline billion
For compliance and commercial teams watching public-safety aviation, three details in the 8-K matter more than the round $1.2 billion number. First, the ownership jump to about 37% fully diluted still leaves Skydio as a minority-held private company from Axon’s perspective — a large strategic stake, not a takeover disclosed as such. Second, the primary Series G block is non-voting preferred, so the closed $254.9 million tranche does not by itself hand Axon board control through those shares. Third, cash-versus-stock mix on the remaining closings can still move with Series G settlement mechanics; the 60% cash / 40% stock sketch is an expectation, not a locked final split for every tranche.
The exclusive-distributor grant is the operational hinge. If the remaining closings complete on the stated timetable, Axon’s sales force becomes the sole public-safety path for Skydio in the two largest North American markets the companies name. That concentrates channel risk and upside in one partner, which is exactly why both CEOs spent the release talking about speed of deployment rather than a change of control.
UK and other non-US readers should treat the story as a US–Canada public-safety channel and ownership update. Neither the newsroom note nor the 8-K announces UK Home Office, NPCC or CAA programme awards tied to this investment. Any European read-across belongs in separate defence or spectrum stories TSN has already covered, not in inventing UK availability from this filing.
What to watch next
The next hard facts will be closing notices for the remaining Series G and secondary purchases, any updated Axon ownership percentage after those settle, and whether Skydio’s “approximately $1 billion” bookings claim for the fiscal year is restated in a later Skydio or Axon disclosure. Until then, the dual primary record is clear: about $1.2 billion of incremental investment at a $5.2 billion pre-money valuation, a primary purchase already closed at about $254.9 million, an expected path to roughly 37% fully diluted ownership, and exclusive US/Canada public-safety distribution — all as Axon and its SEC filing describe them.
